Contrato de Licença de Usuário Final

Este Contrato de Licença de Usuário Final ("Contrato" ou "EULA") é um acordo legal entre você ("você", "usuário" ou "Usuário Final") e a Biosom - Importação, Exportação, Comércio e Serviço Ltda. - EPP, sociedade inscrita no CNPJ nº 13.159.836/0001-85 ("Biosom", "nós" ou "Licenciante"), que regula o uso do aplicativo Biosom e de todos os seus conteúdos, atualizações, funcionalidades e serviços relacionados (em conjunto, o "Aplicativo Licenciado"). Ao baixar, instalar, acessar ou utilizar o Aplicativo Licenciado, você declara que leu, compreendeu e concorda integralmente com este Contrato. Caso não concorde com qualquer condição aqui prevista, não baixe, não instale e não utilize o Aplicativo Licenciado.

Este Contrato é complementar aos Termos de Uso e Política de Privacidade da Biosom. Em caso de conflito entre os documentos quanto à licença de uso do Aplicativo Licenciado, prevalecerá este Contrato.

1. Reconhecimento

1.1. Você e a Biosom reconhecem que este Contrato é celebrado exclusivamente entre você e a Biosom, e não com a Apple Inc. ("Apple"). A Biosom, e não a Apple, é a única responsável pelo Aplicativo Licenciado e por seu conteúdo.

1.2. Este Contrato não pode conflitar com os Termos e Condições dos Apple Media Services (Apple Media Services Terms and Conditions). Quando o Aplicativo Licenciado for obtido por meio da App Store, sua licença está sujeita à aceitação prévia destes termos.

1.3. Você reconhece que a Apple não tem qualquer obrigação de fornecer serviços de manutenção e suporte com relação ao Aplicativo Licenciado.

2. Escopo da Licença

2.1. A Biosom concede a você uma licença pessoal, limitada, intransferível, não exclusiva e revogável para utilizar o Aplicativo Licenciado em quaisquer produtos da marca Apple (Apple-branded Products) que você possua ou controle, conforme permitido pelas Regras de Uso (Usage Rules) estabelecidas nos Termos e Condições dos Apple Media Services, observada a exceção de que o Aplicativo Licenciado poderá ser acessado e utilizado por outras contas associadas a você por meio do Compartilhamento Familiar (Family Sharing) ou da compra por volume.

2.2. Exceto se permitido pelas Regras de Uso, você não poderá distribuir ou disponibilizar o Aplicativo Licenciado em uma rede onde ele possa ser utilizado por múltiplos dispositivos ao mesmo tempo. Você não poderá transferir, redistribuir, sublicenciar, alugar, emprestar ou ceder o Aplicativo Licenciado a terceiros.

2.3. Você não poderá copiar (exceto conforme expressamente permitido por esta licença), descompilar, fazer engenharia reversa, desmontar, tentar derivar o código- fonte, modificar ou criar obras derivadas do Aplicativo Licenciado, de suas atualizações ou de qualquer parte dele (salvo na medida em que tais restrições sejam proibidas pela lei aplicável ou permitidas pelos termos de licença que regulem o uso de eventuais componentes de código aberto incluídos no Aplicativo Licenciado).

2.4. Quaisquer atualizações, correções ou novas versões do Aplicativo Licenciado que venham a substituir ou complementar o Aplicativo Licenciado original estarão sujeitas a este Contrato, salvo se tais atualizações forem acompanhadas de um contrato de licença próprio.

3. Assinaturas e Renovação Automática

3.1. O Aplicativo Licenciado é oferecido sob o modelo de assinatura com renovação automática (auto-renewable subscription), adquirida por meio de compra dentro do aplicativo (in-app purchase) processada pela Apple. As assinaturas disponíveis, sujeitas a alteração e a eventuais promoções, são:

Plano Mensal — R$ 39,90 por mês, com renovação a cada 1 (um) mês.
Plano Anual — R$ 399,00 por ano (equivalente a aproximadamente R$ 33,25 por mês), com renovação a cada 12 (doze) meses.
Período de teste gratuito — quando oferecido, o Aplicativo Licenciado disponibiliza 14 (catorze) dias de teste gratuito da terapia auditiva (combate ao zumbido).

3.2. Conteúdo e serviços de cada período. Durante o período da assinatura, o usuário tem acesso ilimitado às funcionalidades premium do Aplicativo Licenciado, incluindo teste auditivo, triagem auditiva e terapia auditiva (combate ao zumbido), conforme o plano contratado.

3.3. Cobrança. O pagamento será cobrado da sua conta Apple (Apple ID) no momento da confirmação da compra.

3.4. Renovação automática. A assinatura é renovada automaticamente, pelo mesmo período e preço vigente, a menos que a renovação automática seja desativada com pelo menos 24 (vinte e quatro) horas de antecedência ao término do período em curso.

3.5. Cobrança da renovação. Sua conta Apple será cobrada pela renovação dentro das 24 (vinte e quatro) horas anteriores ao término do período em curso, pelo valor correspondente ao plano (R$ 39,90 para o plano mensal ou R$ 399,00 para o plano anual, salvo alteração de preço informada previamente).

3.6. Gerenciamento e cancelamento. As assinaturas podem ser gerenciadas pelo usuário, e a renovação automática pode ser desativada, a qualquer momento, acessando as Configurações da Conta (Account Settings) do dispositivo após a compra. O cancelamento entra em vigor ao final do período de assinatura já pago, e o acesso às funcionalidades premium permanece disponível até essa data.

3.7. Período de teste gratuito. Caso você adquira uma assinatura durante um período de teste gratuito, eventual parte não utilizada do período gratuito será perdida no momento da contratação da assinatura, quando aplicável. Para não ser cobrado, a renovação automática deve ser desativada com pelo menos 24 (vinte e quatro) horas de antecedência ao término do período de teste gratuito.

3.8. Reembolsos. As compras e assinaturas são processadas pela Apple. Pedidos de reembolso são regidos pelos Termos e Condições dos Apple Media Services e devem ser solicitados diretamente à Apple, ressalvados os direitos do consumidor previstos na legislação brasileira aplicável.

4. Manutenção e Suporte

4.1. A Biosom é a única responsável por fornecer quaisquer serviços de manutenção e suporte relativos ao Aplicativo Licenciado, conforme exigido pela lei aplicável. Você e a Biosom reconhecem que a Apple não tem qualquer obrigação de prestar serviços de manutenção e suporte com relação ao Aplicativo Licenciado.

4.2. Para suporte, dúvidas, reclamações ou solicitações relacionadas ao Aplicativo Licenciado, entre em contato com a Biosom pelo e-mail contato@biosom.com.br.

5. Garantia

5.1. A Biosom é a única responsável por qualquer garantia do Aplicativo Licenciado, na medida em que tal garantia não tenha sido validamente excluída. Caso o Aplicativo Licenciado deixe de cumprir qualquer garantia aplicável, você poderá notificar a Apple, e a Apple poderá reembolsar o preço de compra do Aplicativo Licenciado a você, quando aplicável.

5.2. No limite máximo permitido pela lei aplicável, a Apple não terá qualquer outra obrigação de garantia com relação ao Aplicativo Licenciado, e quaisquer outras reivindicações, perdas, responsabilidades, danos, custos ou despesas atribuíveis à falha no cumprimento de qualquer garantia serão de responsabilidade exclusiva da Biosom.

6. Aviso sobre Saúde e Uso do Aplicativo

6.1. O Aplicativo Licenciado é uma ferramenta de bem-estar e apoio auditivo e não é um dispositivo médico, não realiza diagnóstico médico e não substitui a avaliação, o diagnóstico ou o tratamento por profissionais de saúde habilitados. Os testes, triagens e terapias oferecidos têm caráter informativo e de autocuidado.

6.2. Você deve sempre buscar a orientação de um médico, fonoaudiólogo ou outro profissional de saúde qualificado quanto a qualquer condição de audição ou zumbido. Em caso de dor, desconforto ou agravamento dos sintomas, interrompa o uso e procure atendimento profissional.

7. Reivindicações sobre o Produto

7.1. Você e a Biosom reconhecem que a Biosom, e não a Apple, é a responsável por tratar quaisquer reivindicações suas ou de terceiros relativas ao Aplicativo Licenciado ou à sua posse e/ou uso, incluindo, sem limitação: (i) reivindicações de responsabilidade pelo produto; (ii) qualquer alegação de que o Aplicativo Licenciado não está em conformidade com qualquer exigência legal ou regulatória aplicável; e (iii) reivindicações decorrentes de legislação de defesa do consumidor, de privacidade ou de outras leis semelhantes, inclusive em conexão com o uso, pelo Aplicativo Licenciado, de estruturas como HealthKit e HomeKit, se aplicável.

8. Direitos de Propriedade Intelectual

8.1. Você e a Biosom reconhecem que, no caso de qualquer reivindicação de terceiro de que o Aplicativo Licenciado ou a sua posse e uso do Aplicativo Licenciado infringe direitos de propriedade intelectual de tal terceiro, a Biosom, e não a Apple, será a única responsável pela investigação, defesa, acordo e quitação de qualquer reivindicação dessa natureza.

8.2. Todos os direitos de propriedade intelectual sobre o Aplicativo Licenciado, incluindo marcas, logotipos, conteúdos, código, bancos de dados e materiais associados, são de titularidade da Biosom ou de seus licenciantes, e estão protegidos pela legislação aplicável e por tratados internacionais.

9. Conformidade Legal

9.1. Você declara e garante que: (i) não está localizado em um país que seja objeto de embargo do Governo dos Estados Unidos ou que tenha sido designado por esse Governo como país "apoiador do terrorismo"; e (ii) não consta de qualquer lista do Governo dos Estados Unidos de partes proibidas ou restritas.

10. Nome e Endereço do Desenvolvedor

10.1. Quaisquer dúvidas, reclamações ou solicitações relativas ao Aplicativo Licenciado devem ser direcionadas à Biosom pelos contatos abaixo:

11. Termos de Terceiros

11.1. Você deve cumprir os termos de quaisquer contratos de terceiros aplicáveis ao utilizar o Aplicativo Licenciado, incluindo, por exemplo, os termos do seu plano de dados sem fio. Você é o único responsável por eventuais custos de dados, conexão ou serviços de terceiros decorrentes do uso do Aplicativo Licenciado.

12. Terceiro Beneficiário

12.1. Você e a Biosom reconhecem e concordam que a Apple e suas subsidiárias são terceiros beneficiários deste Contrato e que, mediante a sua aceitação dos termos e condições deste Contrato, a Apple terá o direito (e será considerada como tendo aceitado esse direito) de fazer valer este Contrato contra você como terceiro beneficiário dele.

13. Rescisão

13.1. Este Contrato permanece em vigor até ser rescindido por você ou pela Biosom. Seus direitos sob este Contrato serão automaticamente rescindidos, sem aviso prévio, caso você deixe de cumprir qualquer um de seus termos. Após a rescisão, você deverá cessar todo o uso do Aplicativo Licenciado e destruir todas as cópias, totais ou parciais, em sua posse.

14. Isenção de Garantias

14.1. Na máxima extensão permitida pela lei aplicável, o uso do Aplicativo Licenciado é por sua conta e risco, e o Aplicativo Licenciado é fornecido "no estado em que se encontra" (as is) e "conforme disponível" (as available), sem garantias de qualquer espécie. A Biosom não garante que o Aplicativo Licenciado funcionará de forma ininterrupta ou livre de erros, ou que atenderá a todos os seus requisitos. Esta isenção não afasta os direitos do consumidor previstos na legislação brasileira aplicável.

15. Limitação de Responsabilidade

15.1. Na máxima extensão permitida pela lei aplicável, em nenhuma hipótese a Biosom será responsável por danos indiretos, incidentais, especiais, punitivos ou consequenciais decorrentes do uso ou da impossibilidade de uso do Aplicativo Licenciado. Nada neste Contrato exclui ou limita responsabilidades que não possam ser excluídas ou limitadas pela legislação aplicável, incluindo o Código de Defesa do Consumidor.

16. Lei Aplicável e Foro

16.1. Este Contrato é regido pelas leis da República Federativa do Brasil. Fica eleito o Foro Central da Comarca da Cidade de São Paulo/SP para dirimir quaisquer controvérsias decorrentes deste Contrato, ressalvado o direito do consumidor de ajuizar ação no foro de seu domicílio, nos termos da legislação aplicável.

17. Disposições Gerais

17.1. A Biosom poderá atualizar este Contrato a qualquer tempo, mediante publicação da versão revisada nesta página. O uso continuado do Aplicativo Licenciado após a publicação representa a aceitação das alterações. Caso qualquer disposição deste Contrato seja considerada inválida ou inexequível, as demais disposições permanecerão em pleno vigor.

This End-User License Agreement ("Agreement" or "EULA") is a legal agreement between you ("you", the "user" or the "End-User") and Biosom - Importação, Exportação, Comércio e Serviço Ltda. - EPP, a company registered under Brazilian taxpayer number CNPJ No. 13.159.836/0001-85 ("Biosom", "we" or the "Application Provider"), governing your use of the Biosom application and all of its content, updates, features and related services (collectively, the "Licensed Application"). By downloading, installing, accessing or using the Licensed Application, you represent that you have read, understood and fully agree to this Agreement. If you do not agree to any of its terms, do not download, install or use the Licensed Application.

This Agreement supplements Biosom's Terms of Use and Privacy Policy. In the event of a conflict regarding the license to use the Licensed Application, this Agreement shall prevail.

1. Acknowledgement

1.1. You and Biosom acknowledge that this Agreement is concluded between you and Biosom only, and not with Apple Inc. ("Apple"), and that Biosom, not Apple, is solely responsible for the Licensed Application and the content thereof.

1.2. This Agreement may not provide for usage rules for the Licensed Application that are in conflict with the Apple Media Services Terms and Conditions as of the effective date of this Agreement.

1.3. You acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Licensed Application.

2. Scope of License

2.1. Biosom grants you a personal, limited, non-transferable, non-exclusive and revocable license to use the Licensed Application on any Apple-branded Products that you own or control and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions, except that the Licensed Application may be accessed and used by other accounts associated with you via Family Sharing or volume purchasing.

2.2. Except as permitted by the Usage Rules, you may not distribute or make the Licensed Application available over a network where it could be used by multiple devices at the same time. You may not transfer, redistribute, sublicense, rent, lend or lease the Licensed Application to any third party.

2.3. You may not copy (except as expressly permitted by this license), decompile, reverse engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of the Licensed Application, any updates, or any part thereof (except as and only to the extent that any of the foregoing restriction is prohibited by applicable law or permitted by the licensing terms governing the use of any open- source components included with the Licensed Application).

2.4. Any updates, fixes or new versions of the Licensed Application that replace or supplement the original Licensed Application shall be governed by this Agreement, unless such update is accompanied by a separate license agreement.

3. Subscriptions and Auto-Renewal

3.1. The Licensed Application is offered through an auto-renewable subscription model, purchased via in-app purchase processed by Apple. The available subscriptions, subject to change and to any promotions, are:

Monthly Plan — R$ 39.90 per month, renewing every 1 (one) month.
Annual Plan — R$ 399.00 per year (equivalent to approximately R$ 33.25 per month), renewing every 12 (twelve) months.
Free trial — when offered, the Licensed Application provides a 14-day free trial of the hearing therapy (tinnitus relief).

3.2. Content and services per period. During the subscription period, the user has unlimited access to the premium features of the Licensed Application, including the hearing test, hearing screening and hearing therapy (tinnitus relief), according to the plan purchased.

3.3. Billing. Payment will be charged to your Apple Account (Apple ID) at confirmation of purchase.

3.4. Automatic renewal. The subscription automatically renews, for the same period and at the then-current price, unless auto-renew is turned off at least 24 hours before the end of the current period.

3.5. Renewal charge. Your Apple Account will be charged for renewal within 24 hours prior to the end of the current period, in the amount corresponding to the plan (R$ 39.90 for the monthly plan or R$ 399.00 for the annual plan, unless a price change has been communicated in advance).

3.6. Managing and cancelling. Subscriptions may be managed by the user, and auto-renewal may be turned off, at any time, by going to the user's Account Settings on the device after purchase. Cancellation takes effect at the end of the already-paid subscription period, and access to premium features remains available until that date.

3.7. Free trial. If you purchase a subscription during a free trial period, any unused portion of the free trial period will be forfeited when you purchase the subscription, where applicable. To avoid being charged, auto-renewal must be turned off at least 24 hours before the end of the free trial period.

3.8. Refunds. Purchases and subscriptions are processed by Apple. Refund requests are governed by the Apple Media Services Terms and Conditions and must be submitted directly to Apple, without prejudice to the consumer rights provided under applicable Brazilian law.

4. Maintenance and Support

4.1. Biosom is solely responsible for providing any maintenance and support services with respect to the Licensed Application, as required under applicable law. You and Biosom acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Licensed Application.

4.2. For support, questions, complaints or requests regarding the Licensed Application, contact Biosom at contato@biosom.com.br.

5. Warranty

5.1. Biosom is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the Licensed Application to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price of the Licensed Application to you, if applicable.

5.2. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Licensed Application, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty will be Biosom's sole responsibility.

6. Health Notice and Use of the App

6.1. The Licensed Application is a wellness and hearing-support tool. It is not a medical device, does not provide medical diagnosis, and does not replace assessment, diagnosis or treatment by qualified healthcare professionals. The tests, screenings and therapies offered are for informational and self-care purposes only.

6.2. You should always seek the advice of a physician, audiologist or other qualified healthcare professional regarding any hearing condition or tinnitus. If you experience pain, discomfort or worsening of symptoms, discontinue use and seek professional care.

7. Product Claims

7.1. You and Biosom acknowledge that Biosom, not Apple, is responsible for addressing any claims of yours or any third party relating to the Licensed Application or your possession and/or use of it, including, but not limited to: (i) product liability claims; (ii) any claim that the Licensed Application fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation, including in connection with the Licensed Application's use of the HealthKit and HomeKit frameworks, if applicable.

8. Intellectual Property Rights

8.1. You and Biosom acknowledge that, in the event of any third-party claim that the Licensed Application or your possession and use of the Licensed Application infringes that third party's intellectual property rights, Biosom, not Apple, will be solely responsible for the investigation, defense, settlement and discharge of any such intellectual property infringement claim.

8.2. All intellectual property rights in the Licensed Application, including trademarks, logos, content, code, databases and associated materials, are owned by Biosom or its licensors and are protected by applicable law and international treaties.

9. Legal Compliance

9.1. You represent and warrant that: (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

10. Developer Name and Address

10.1. Any questions, complaints or claims with respect to the Licensed Application should be directed to Biosom at:

11. Third-Party Terms of Agreement

11.1. You must comply with applicable third-party terms of agreement when using the Licensed Application, including, for example, the terms of your wireless data service plan. You are solely responsible for any data, connection or third-party service costs incurred from your use of the Licensed Application.

12. Third-Party Beneficiary

12.1. You and Biosom acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of this Agreement, and that, upon your acceptance of the terms and conditions of this Agreement, Apple will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary thereof.

13. Termination

13.1. This Agreement is effective until terminated by you or Biosom. Your rights under this Agreement will terminate automatically, without notice, if you fail to comply with any of its terms. Upon termination, you must cease all use of the Licensed Application and destroy all copies, full or partial, in your possession.

14. Disclaimer of Warranties

14.1. To the maximum extent permitted by applicable law, use of the Licensed Application is at your sole risk, and the Licensed Application is provided "as is" and "as available", without warranties of any kind. Biosom does not warrant that the Licensed Application will be uninterrupted or error-free, or that it will meet all of your requirements. This disclaimer does not affect consumer rights granted under applicable Brazilian law.

15. Limitation of Liability

15.1. To the maximum extent permitted by applicable law, in no event shall Biosom be liable for indirect, incidental, special, punitive or consequential damages arising out of the use of or inability to use the Licensed Application. Nothing in this Agreement excludes or limits liability that cannot be excluded or limited under applicable law, including the Brazilian Consumer Protection Code.

16. Governing Law and Jurisdiction

16.1. This Agreement is governed by the laws of the Federative Republic of Brazil. The Central Court of the District of the City of São Paulo/SP is hereby elected to resolve any disputes arising from this Agreement, without prejudice to the consumer's right to file suit in the court of their domicile, as provided by applicable law.

17. General Provisions

17.1. Biosom may update this Agreement at any time by publishing the revised version on this page. Continued use of the Licensed Application after publication constitutes acceptance of the changes. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
